Job Summary
Lead M&A execution from term sheet through closing, including structuring, due diligence, drafting, negotiation, and post-close integration. Run strategic minority investments, conducting due diligence, drafting documentation, and managing ongoing investor rights. Own joint venture projects end-to-end, from initial structuring and governance design through negotiation of agreements and operational frameworks. Prepare and review board resolutions, minutes, and supporting materials for M&A transactions, equity matters, and significant corporate actions. Advise on equity issuances, secondary transactions, and shareholder matters while ensuring legal documentation aligns with commercial and tax requirements. Scale the corporate legal function by building processes, templates, and playbooks, and assist in managing external law firms, including matter scoping, engagement letters, and budget management. Partner closely with Corporate Development, Tax, Treasury, Finance, and executive leadership on complex corporate matters.
Required Qualifications
- 12+ years of corporate legal experience
- top-tier law firm time
- significant in-house experience
- Strong M&A and corporate transactional track record
- Confidence leading multi-stream transactions from structuring through execution
- Experience advising senior stakeholders on complex corporate matters
- Strong understanding of joint ventures, equity matters, subsidiary governance, and strategic transactions
- Ability to partner effectively with Corporate Development, Tax, Treasury, Finance, People, Governance, and executive leadership
- Qualified lawyer in the US in good standing
