Vice President II - Counsel — Institutional Asset Management

Job Summary
Support investment advisory activities across insurance general accounts, private funds, and pension products. Advise portfolio management teams on legal and regulatory considerations for balance sheet investing, including statutory rules for affiliated general accounts. Draft, review, and negotiate investment management agreements and transaction documents for institutional clients. Coordinate with outside counsel on transactional and regulatory matters, including Advisers Act, FINRA, and ERISA frameworks. Partner with Compliance and Risk teams to assess legal risks and assist with regulatory examinations. Manage multiple matters independently while collaborating across Legal, Compliance, and business teams on cross-functional initiatives.
Required Qualifications
- J.D. from an accredited law school
- Active bar membership in good standing
- Approximately 6-12 years of relevant legal experience
- Experience gained at a leading law firm, in-house legal department, or a combination of both
- Substantive experience with institutional asset management
- Experience with a range of asset classes and client types
- Experience with investment transactions, such as structured debt investments, private credit, direct investments, or investment restructurings
- Strong drafting, negotiation, and analytical skills
- Ability to manage multiple matters and deadlines independently
- Excellent judgment and communication skills
- Ability to convey complex legal and regulatory concepts clearly to business partners
- Collaborative, team-oriented approach
- Demonstrated ability to work effectively across disciplines
