Transaction Legal Counsel

Job Summary
Transaction Legal Counsel with 5+ years’ post-qualification experience sought for a remote-contract role supporting private-market transactions, including secondary transfers and NAV lending. You will draft, review, and negotiate legal documentation (e.g., NDAs, LOIs, Purchase & Sale Agreements, Transfer Agreements, Credit Agreements) and interpret fund documents (LPAs, side letters) to identify transferability guidelines and closing constraints. You’ll manage global closing workflows across buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams; oversee KYC/AML onboarding for counterparties; refine templates and processes to improve efficiency; advise internal teams on legal requirements, feasibility, and risk; and collaborate across legal, operations, deal teams, and platform workflows across jurisdictions.
Required Qualifications
- 5+ years of post-qualification experience in transactional legal, compliance, transaction services, or financial services roles
- Strong familiarity with US and/or UK law-governed agreements in a cross-border context
- Experience supporting or managing multi-party transaction execution and closing processes
- Working knowledge of KYC/AML and regulatory compliance in financial transactions
- Strong organisational and communication skills, with the ability to manage multiple workstreams simultaneously
