Job Summary
Draft and negotiate complex technology licensing, software, SaaS, cloud hosting, and strategic partnership agreements for emerging growth, AI, and life sciences companies. Manage sophisticated commercial transactions, including intellectual property licensing and technology transfer, while conducting due diligence for mergers and acquisitions and venture capital financings. Advise clients on AI deployments, regulatory compliance, and data protection matters. Represent clients at every stage of growth within a collaborative AmLaw 50 environment offering significant client interaction and mentorship.
Required Qualifications
- 3–5 years of technology transactions experience gained at a sophisticated law firm
- Experience advising technology companies, software providers, AI companies, life sciences companies, SaaS providers, cloud service providers, and other innovative businesses
- Experience drafting and negotiating technology licensing agreements, software licenses, SaaS agreements, cloud hosting agreements, application hosting agreements, distribution agreements, strategic partnership agreements, technology development agreements, and other complex commercial agreements
- Experience handling intellectual property licensing, technology transfer, commercialization, and strategic technology transactions
- Experience providing technology transaction support and intellectual property due diligence for mergers & acquisitions, venture capital financings, and other corporate transactions
- Strong drafting, negotiation, analytical, problem-solving, and communication skills
- Ability to independently manage sophisticated technology transactions while maintaining significant client interaction
- Excellent academic credentials
- J.D. from an ABA-accredited law school required
- New York bar admission required or ability to become admitted
Desired Qualifications
- Experience advising clients regarding artificial intelligence (AI) deployments, AI-related commercial agreements, and emerging AI regulatory considerations is preferred
- Experience advising on transactional privacy, data protection, and technology regulatory compliance is a plus
