Job Summary

Draft and negotiate repurchase agreements, credit agreements, pooling and servicing agreements, indentures, and offering documents for sophisticated structured finance and securitization transactions. Represent financial institutions, investment banks, private credit funds, mortgage lenders, and institutional investors in warehouse lending, ABS, RMBS, and capital markets deals. Independently manage complex finance transactions while maintaining significant client interaction. Requires 4–6 years of structured finance experience, a J.D. from an ABA-accredited law school, and New York bar admission. Required Qualifications

  • 4–6 years of structured finance, securitization, or secured finance experience gained at a sophisticated law firm
  • Experience representing investment banks, financial institutions, private credit funds, mortgage lenders, specialty finance companies, issuers, and institutional investors
  • Experience handling repurchase facilities, warehouse facilities, syndicated credit facilities, securitizations, and other structured finance transactions
  • Experience drafting and negotiating repurchase agreements, credit agreements, pooling and servicing agreements (PSAs), indentures, intercreditor agreements, private placement memoranda, offering documents, and other structured finance documentation
  • Strong understanding of mortgage-backed and asset-backed financing structures, collateral arrangements, servicing agreements, and related financing issues
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • New York bar admission required or ability to become admitted

Desired Qualifications

  • Experience supporting ABS, RMBS, warehouse lending, collateralized financing arrangements, and capital markets transactions is preferred
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated finance transactions while maintaining significant client interaction
