Job Summary

Conduct governance and securities law assistance for Pernod Ricard's legal department, including analyzing legislative updates, benchmarking for the Annual General Meeting, and drafting regulatory documents for shareholder assemblies. Manage operations for Long-Term Incentive Plans and internal restructuring projects while supporting the oversight of over 30 subsidiaries, specifically approving annual accounts and drafting corporate acts for statutory changes. Assist in establishing new corporate procedures, maintaining the Dilitrust database, and handling formalities with external bodies like the commercial court and notaries. Prepare legal memos, perform legal research, and monitor regulatory developments to support various headquarters departments.

Required Qualifications

  • Master in Business Law
  • Completion of a diploma from a Grande École de Commerce or an LL.M.
  • Experience in internships at law firms and/or in the legal direction of a large listed group
  • Perfect mastery of Office tools and legal databases (Doctrinal, LexisNexis, Lamy, Dalloz, etc.)
  • Excellent mastery of English and French
  • Ability to complete a 6-month internship
  • Possession of a convention issued by the school/university
  • Rigorous, proactive, and dynamic mindset
  • Good research, analysis, synthesis, and teamwork capabilities

Desired Qualifications

  • Experience in governance of enterprise (composition of the Board of Directors and its committees, tracking legislative evolutions, realization and analysis of benchmarks for the Annual General Meeting of Pernod Ricard in November and international evolutions, etc.)
  • Experience in assistance on stock law issues (participation in the drafting and review of the Universal Registration Document in French and English, the Convocation Brochure and other regulatory and internal documents for the Annual General Meeting, management of insider lists, updating the Company's website)
  • Experience in assistance on LTIP operations
  • Experience in assistance on internal legal restructuring operations
  • Experience in managing a portfolio of more than 30 subsidiaries, notably in the approval process of annual accounts stopped on June 30 and drafting of legal acts related to corporate life (statutory modifications, change of presidency, capital operations, restructuring, etc.)
  • Experience in the elaboration and implementation of new procedures and corporate guidelines at the Group level
  • Experience in managing the corporate database of the Group (tool 'Dilitrust')
  • Experience in performing formalities with various bodies involved in the life of the company (Greffe du Tribunal de commerce, notaries, Chamber of Commerce or Chamber of Trades, Tax Center, etc.)
  • Experience in drafting memos and conducting research
  • Experience in legal monitoring (veille juridique)
