Sr Paralegal, M&A and Entity Management

Job Summary
Conduct transaction support, due diligence, and document review for mergers and acquisitions, including drafting and organizing non-disclosure agreements and coordinating with internal and external parties for closing preparation. Maintain corporate subsidiary databases and manage organizational and governing documents, while preparing resolutions, mergers, and dissolutions. Provide guidance on signature and approval authority, oversee outside counsel in international jurisdictions, and coordinate with attorneys and business partners to ensure timely transaction completion. Manage electronic and physical file repositories and handle administrative tasks such as call scheduling and invoice processing.
Required Qualifications
- Associate's Degree (accredited) with Paralegal emphasis, or in lieu of degree
- High School Diploma (accredited) or GED (accredited) and two (2) years of relevant experience
- 10+ years of relevant work experience, including experience supporting general corporate law and mergers and acquisitions matters
- A.B.A. Approved Paralegal Certificate
