Sr. Corporate Counsel, Securities and Corporate Governance

Job Summary
Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements, while supporting the Disclosure Committee and insider trading compliance. Assist the Chief Legal Officer with NYSE listing standards, executive compensation disclosures, and board materials. Manage shareholder proposals, coordinate annual shareholder meeting logistics, and advise on community-level legal matters such as resident agreements and state licensing. Draft vendor contracts, review commercial arrangements, and partner with Investor Relations, HR, and external counsel on regulatory inquiries. This role ensures accurate compliance for Sonida Senior Living's 165 communities and public company obligations.
Required Qualifications
- J.D. from an accredited law school
- licensed and in good standing with a U.S. state bar
- At least 5 years of legal experience
- 3+ years focused on corporate or securities law
- Experience advising or working with public companies on SEC filings and corporate governance
- Strong understanding of federal securities laws
- Strong understanding of NYSE requirements
- Strong understanding of corporate compliance
- Excellent writing skills
