Job Summary
Senior Corporate Counsel to support commercial contracting across select portfolio companies, focusing on negotiating enterprise software transactions in a fast-paced environment. Draft, review, and negotiate enterprise software license agreements (on-premise and SaaS), cloud service agreements, and channel partner agreements (reseller, VAR, OEM). Collaborate with sales, finance, operations, and product teams to resolve commercial issues, advise stakeholders on contract structure and risk, and manage multiple negotiations with high-volume throughput. Requires 7+ years of relevant experience, in-house or law-firm experience representing software/tech companies, strong drafting and negotiation skills, and active Bar association membership. Compensation ranges: US $160,000–$185,000 USD; Canada $130,000–$180,000 CAD depending on country and experience. Remote work option available.
Required Qualifications
- Active membership in a relevant Bar association
- 7+ years of relevant legal experience
- Experience negotiating enterprise software agreements (license and SaaS) with corporate customers
- Experience negotiating reseller, VAR, OEM, or other channel partner agreements preferred
- Experience supporting sales teams in negotiating customer and partner agreements
- Familiarity with enterprise software licensing models (subscription and on-premise)
