Senior transactional attorney - business law

Job Summary

Own and manage a full transactional matter portfolio independently, including contract drafting, negotiation, buy/sell agreements, and corporate structuring. Lead M&A transactions from diligence through structuring and closing for small-to-mid-cap private deals while advising clients on tax structuring, land use entitlements, zoning, and real estate transactions. Work directly with the CEO/Managing Partner on complex transactional matters and firm growth strategy, cross-collaborating with the litigation team when matters become contested. Help shape and expand the firm's transactional practice areas as the firm scales from 6 to 11+ attorneys. Maintain a schedule of 120 billable hours/month with no consultation or pro bono requirements, earning an uncapped quarterly bonus based on revenue and hours.

Required Qualifications

  • 10+ years of practice experience in business law
  • Ability to independently manage a transactional matter portfolio from day one
  • Comfort working in a growing boutique firm environment
  • Demonstrated track record in M&A, tax, land use, or broader corporate transactional work
  • Ability to own and manage a full transactional matter portfolio independently
  • Ability to lead M&A transactions from diligence through structuring and closing for small-to-mid-cap private deals
  • Ability to advise clients on tax structuring, land use entitlements, zoning, and real estate transactions
  • Ability to work directly with the CEO/Managing Partner on complex transactional matters and firm growth strategy
  • Ability to cross-collaborate with the firm's litigation team when transactional matters become contested
  • Ability to help shape and expand the firm's transactional practice areas as the firm scales from 6 to 11+ attorneys
  • Minimum 120 billable hours/month (1,440/year)
