Senior Tax Attorney for Corporate

Job Summary
Draft governing documents, merger agreements, and equity incentive plans for complex corporate transactions. Review tax provisions in transaction documentation, analyze tax impacts of deal structures, and coordinate with CPAs and opposing counsel. Research legal issues, prepare documents, and develop new client referral sources to drive practice growth. Establish team policies and procedures while acting as a liaison with Advanced Tax Strategies and T&E groups. This role contributes to client satisfaction and firm revenue goals within a high-achievement culture at Goodspeed Merrill.
Required Qualifications
- 8+ years of relevant law firm experience
- Juris Doctorate from an ABA accredited law school
- Licensed to practice law preferably in the state of Colorado
- General corporate and M&A experience
- Drafting governing documents (LLC and Partnership Agreements)
- Drafting Purchase and Sale Agreements
- Drafting Merger Agreements
- Drafting Buy/Sell Agreements
- Drafting Shareholder/Investor Agreements
- Drafting Equity Incentive Plans and Award Agreements
- M&A Transaction Support experience
- Corporate Tax Support experience
- Research skills
- Legal document preparation skills
- Analysis of transaction structure
- Familiarity with tax-free acquisition/merger structures
- Familiarity with corporate conversions
- Familiarity with partnership agreements
- Familiarity with S-corp limitations and transaction based F-reorg structures
- Familiarity with exit strategies
- 1031 like-kind exchange structuring and analysis
- General knowledge regarding real estate developer/inventory
- Knowledge regarding land banking
