Job Summary
Senior Manager, Equity Administration at Ramp oversees global equity programs, ensuring operational excellence, compliance, and scalability. Owns daily administration of equity plans (stock option grants, RSUs, exercises, repurchases, cancellations), partners with People Operations on onboarding/offboarding and employee communications, maintains data integrity in the equity management system (Shareworks), assists accounting with valuation of awards, coordinates with external auditors/tax/legal on equity matters, and drives employee education about equity to boost understanding and engagement. Collaborates across Finance, Legal, and People teams to support governance, reporting, and education related to equity, with experience in complex equity transactions and knowledge of U.S. tax and securities regulations.
Required Qualifications
- 8–10 years of progressive experience in equity administration, ideally at least 2 years in a manager-level or lead role.
- Deep expertise in equity management platforms (Shareworks preferred) and familiarity with GAAP accounting for equity compensation.
- Strong understanding of U.S. tax and securities regulations related to equity compensation (including 409A, taxation on equity).
- High attention to detail, analytical rigor, and process orientation.
- Strong communication skills and ability to collaborate across Finance, Legal, and People teams.
Desired Qualifications
- Experience in a pre-IPO or hyper-growth tech company environment.
- Experience with Shareworks and Workday
- Familiarity with global equity programs and expansion outside of the US (ESPP, RSU)
- Experience with complex equity transactions such as tender offers, secondary sales, and repurchases.
