Job Summary
Own the company secretarial function, organize board meetings, prepare packs, draft resolutions, and manage statutory filings. Advise the board and senior management on corporate governance and directors' duties. Provide legal support for fundraising activities, including due diligence, transaction documentation, and investor engagement. Draft, maintain, and roll out contract templates, lead negotiations of commercial contracts, and partner with the people team on employment law matters. Oversee the EMI share option plan and lead legal aspects of international growth, including subsidiary formation and cross-border structuring. Advise on data protection, privacy compliance, and medtech regulatory requirements while developing risk management frameworks. Work with external experts to guide the IP portfolio and support R&D teams in embedding IP best practice.
Required Qualifications
- Qualified solicitor
- 6–9 PQE
- strong foundation in corporate and commercial law
- Comfortable operating as the sole in-house lawyer
- prior in-house experience at a startup or scale-up
- Experience in medtech, life sciences, or a regulated industry
- Track record of leading commercial contract negotiations
- managing external counsel effectively
- Solid grounding in corporate governance and company secretarial responsibilities
- confidence to own this function independently
- Exposure to equity fundraising processes (Series A or beyond), including due diligence and transaction documentation
- Strong communicator
- able to translate complex legal risk into clear, actionable guidance for non-lawyers at all levels
- Proactive

- energised by the breadth of a standalone legal role
Desired Qualifications
- Familiarity with FDA, UKCA, and CE regulatory frameworks
- IP portfolio management experience
- International expansion or cross-border structuring experience
- Data protection / GDPR expertise
