Job Summary
Senior Counsel within PNC's Corporate Governance organization providing legal advice on equity-based compensation, including design, implementation, and governance of incentive plans and programs; draft, review, and negotiate equity compensation plans and award agreements; advise on tax and securities requirements (including IRC 409A), shareholder approvals, and related disclosure obligations; support executive compensation disclosure and governance processes (Forms 8-K, S-8, and the Compensation Discussion & Analysis in proxy statements); collaborate with accounting, tax, and corporate/legal teams and help manage outside counsel; requires JD and active license, 8+ years of relevant experience, and U.S. office-based roles in Pittsburgh, Philadelphia, Washington DC, Birmingham, or Cleveland.
Required Qualifications
- Juris Doctorate (J.D.) degree from an accredited law school
- Licensed to practice law in at least one jurisdiction
