Job Summary
Senior Corporate Paralegal to support a law firm in San Diego focusing on corporate matters. Responsibilities include organizing, preparing, and filing Articles of Incorporation/Organization, state qualifications, and related documents; drafting transactional documents including closing statements, UCC searches and filings, and filing annual reports where required; maintaining capitalization tables and stock/options ledgers; organizing closing books for transactions such as acquisitions and mergers; developing and updating closing checklists; conducting Blue Sky research and filings; maintaining minute books; managing data rooms and matter files. Required background includes 6+ years in a corporate/paralegal role at a large firm or legal department, Blue Sky experience, Section 16 familiarity, exposure to both private and public company environments, proficiency with Word/Excel/Outlook, and strong communication and organizational skills.
Required Qualifications
- A college degree and/or a paralegal certificate
- Minimum of 6 years of paralegal experience in a large law firm or legal department
- Experience in Blue Sky matters
- Section 16 background
- Exposure to both private and public company environments
- Proficiency in Microsoft Word, Excel, and Outlook
- Strong verbal, written, and interpersonal communication skills
- Exceptional organizational skills and keen attention to detail
