Job Summary
Coordinate, organize, and interpret complex legal documents under attorney supervision while building and maintaining relevant databases and files. Perform factual research in internal and external databases, assist with legal business transactions and logistics, and partner with internal resources and outside vendors. Direct team members, manage billable hours targets, and prepare closing certificates, Board minutes, and Form D filings. Work overtime and travel as required to meet expectations and handle additional assigned projects efficiently. This role is remote until September.
Required Qualifications
- 4-year degree
- large law firm experience in a Corporate practice
- VC experience
- At least 5 years of Paralegal experience
- At least 3 years of relevant Corporate experience
- ABA-approved Paralegal Certificate
- Bachelor's Degree
- Familiarity with corporate formation in DE
- Experience with venture capital financings
- Stock and cap table management
- building cap tables in Excel
- managing Carta or Shareworks cap tables
- Preparation of Board and Board Committee minutes and written consents
- Transaction closings
- preparing closing certificates
- Preparation and filing Form Ds
- state securities filings
- Proficiency in MS Outlook
- web-based conference call/web-sharing applications
- Proficiency in MS Word
- document editing/comparison applications
- MS Excel and spreadsheet/database applications
- MS PowerPoint and presentation applications
- Proficiency in online research and internet search resources (Lexis Nexis/Westlaw)
- Knowledge of Firm and Corporate practice-area-specific procedures and terminology
- Knowledge of relevant jurisdictional/court/agency processes and procedures
- Knowledge of timekeeping and expense reporting applications
- Knowledge of legal billing processes
