Job Summary
Provide legal support for transactional matters within U.S. Bank’s Global Corporate Trust team, including drafting, reviewing, and negotiating agreements in roles as bond trustee, escrow agent, paying agent, and custodian; advise on governing documents, account administration, and transactional issues across corporate and municipal finance deals; offer legal guidance on risk considerations, potential litigation exposure, and regulatory compliance; support business partners with contract drafting and negotiation strategies to resolve deal-related issues under tight timelines; interpret and assess laws and regulations affecting fiduciaries and agents (fiduciaries and financial institutions); requires 5+ years of transactional practice (preferred in financial services) and active bar licensure; ability to manage multiple matters simultaneously in a fast-paced environment; strong written communication and client service skills
Required Qualifications
- Licensed by state bar association or equivalent licensing authority
- Five or more years of transactional practice experience (preferably financial services)
- Experience advising trustees, custodial banks, investment advisers, brokers, insurers, or similar financial institutions (preferred)
- Ability to manage multiple matters in a fast-paced, deadline-driven environment
- Understanding of fiduciary and regulatory frameworks (Reg 9, Trust Indenture Act, UCC)
- Excellent written interpersonal and communication skills
- Strong client service orientation
- Willingness to work at U.S. Bank locations three or more days per week
