Job Summary

Execute enterprise-level commercial contracts, including SaaS subscriptions, API integrations, and novel AI licensing agreements, while independently managing negotiations from inception to closing. Architect complex data flow structures for LLM and RAG frameworks, balancing speed with risk to align legal solutions with Yelp's business growth objectives. Proactively research counterparties and resolve technical issues without escalation, collaborating seamlessly with Product, Engineering, and Finance teams to allocate risk and advance deals.

Required Qualifications

  • Juris Doctor degree
  • State bar membership in good standing
  • 8+ years of experience as an attorney
  • Proven track record in complex technology transactions and business development at a very high level
  • Extensive knowledge of SaaS contract law
  • Extensive knowledge of IP law
  • Comprehensive understanding of privacy and regulatory frameworks including TCPA, CCPA, CAN-SPAM, CIPA, HIPAA, and PCI
  • Solid, practical understanding of network architecture
  • Solid, practical understanding of APIs
  • Solid, practical understanding of MCP servers
  • Solid, practical understanding of data feeds
  • Solid, practical understanding of apps
  • Solid, practical understanding of databases
  • Solid, practical understanding of firewalls
  • Solid, practical understanding of data wiping protocols
  • Ability to think strategically about give-and-take
  • Ability to develop creative fallback positions
  • Ability to independently resolve issues without escalating to outside counsel
