Job Summary
Draft, review, and negotiate commercial agreements for clients, partners, and vendors, serving as the primary legal point of contact from term sheet through signature. Build templates and playbooks to standardize contracting while partnering with sales and product teams to address legal and compliance concerns that drive deal closure. Support regulatory and licensing requirements for U.S. and EU authorizations, advising on data privacy, AML, and sanctions, then translate these obligations into practical guidance for internal teams. Manage corporate governance, board materials, and equity grants, while overseeing outside counsel scope and spend. Report weekly to the Co-Founder on deal progress and key matters, exercising independent judgment in a remote, fast-paced environment.
Required Qualifications
- A law degree (JD or equivalent) and admission to practice (or in good standing) in a relevant jurisdiction
- 5–8 years of relevant legal experience, in-house or at a reputable law firm (a combination of both is a plus)
- Strong commercial contracting experience — you are comfortable owning negotiations and drafting across client, partner, and vendor agreements independently
- Working knowledge of corporate matters (governance, board materials, equity/options) and comfort supporting compliance and licensing obligations
- Familiarity with crypto and/or payments — you understand the products, the counterparties, and the regulatory context these businesses operate in
- Sound judgment and a practical, risk-weighted approach; you know the difference between a real risk and a theoretical one
- Clear communication and the ability to give crisp, actionable advice to non-lawyers
- Comfort working autonomously in a remote, fast-paced, early-stage environment — running your own docket and keeping leadership informed without close supervision
Desired Qualifications
- Direct experience with money transmission (MTL/MSB) and/or MiCA regulatory regimes
- Exposure to stablecoins, digital assets, or payments infrastructure
- Experience being an early or first legal hire and building processes from scratch
- Support-level familiarity with licensing applications and regulatory engagement
