Job Summary
Senior Business Counsel overseeing end-to-end licensing, sponsorship, partnership and vendor transactions; structuring, drafting, and negotiating complex commercial agreements; leading equity-instrument transactions; advising on IP strategy and risk across domestic and international deals; overseeing deal governance, regulatory compliance, and corporate governance; supervising Corporate Counsel; hybrid work arrangement in Washington, DC with onsite requirement.
Required Qualifications
- JD from an accredited law school
- Active and unrestricted license to practice in at least one state bar association with the ability to be licensed in Washington, DC
- Minimum of seven years’ experience in complex commercial transactions involving intellectual property, licensing, sponsorship/marketing partnerships and content or brand-driven deals
- Experience leading negotiations and drafting a broad range of commercial agreements
- Ability to lead end-to-end transaction execution across licensing, sponsorship, partnership and vendor deals
- Ability to structure, draft, and negotiate equity instruments (warrants, convertible notes, SAFEs)
- Oversee IP strategy and risk in commercial transactions (licensing, rights, publicity, content exploitation)
- Cross-functional liaison to business, finance, marketing, and partnerships teams
- Support regulatory compliance matters and corporate governance
- Manage deal lifecycle governance and coordination with internal/external counsel
- Provide supervisory oversight of Corporate Counsel
- Support budgeting and governance processes
- Strong communication, analytical and problem-solving skills
