Job Summary
The SEC Attorney will support a broad range of U.S. securities and corporate law matters. Primary internal clients include Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, and Treasury. Located at the Corporate HQ in Austin, TX. Responsibilities include supporting preparation, review and filing of SEC filings (Forms 10-K, 10-Q, 8-K), assisting with the annual proxy statement and shareholders meeting, supporting Section 16 compliance, helping administer insider-trading compliance processes and 10b5-1 plan administration, collaborating with cross-functional teams to support public-company disclosure and governance, supporting legal entity and subsidiary governance, assisting with Board and committee materials and meeting logistics, updating governance documents and policies, supporting treasury on corporate finance matters (letters of credit, guaranties, intercompany loans), contributing to process improvements, and handling special projects. Periodic travel may be required.
Required Qualifications
- Must be an attorney qualified to practice law in at least one U.S. state
- Law degree from a reputable law school
- Approximately 4-6 years’ experience practicing as an attorney in a top law firm or public company legal department or a combination thereof
- Experience working on periodic reporting and disclosure (10-K/10-Q/8-K) and/or proxy statement drafting/review
- Familiarity with Section 16 reporting and insider trading compliance concepts (including 10b5-1 plan workflows)
- Working knowledge of corporate governance frameworks, including exchange listing standards, governance documentation, and board/committee practices
- Experience working on treasury matters including letters of credit, parent guaranties, and intercompany loans
- Excellent interpersonal skills, business judgment, strategic thinking, and strong written and verbal communication skills
- Ability to interact with people at all levels in a complex matrix organization
- Strong project management and communication skills; comfortable managing multiple deadlines with cross-functional stakeholders
- Willingness to travel periodically
- Qualified to practice law in at least one U.S. state
