Job Summary
Manage day-to-day operational execution of portfolio company exits, mergers, and conversions by executing partner votes, consents, and documentation while monitoring securities restrictions with transfer agents and external counsel. Prepare, validate, and reconcile complex distribution mathematical schedules and waterfall calculations, then coordinate with external platforms to ensure exit proceeds flow accurately to members. Spearhead regulatory filings including SEC Form ID, Form D, and Blue Sky notices, structure corporate documentation packages, and compile rigorous Know Your Customer files prior to submission. Synchronize data integrity across Deal, Compliance, Nexus, and Finance teams to ensure seamless deal launches and flawless post-exit reporting.
Required Qualifications
- Strong foundational degree or background in law, finance, mathematics, business, science, engineering, or a highly quantitative field
- 4–5 years of professional experience in an investment operations, legal operations, fund administration, or corporate finance workspace
- Deep familiarity with US corporate exits (mergers, conversions, lock-ups, Rule 144)
- Hands-on experience processing securities/regulatory filings (Form ID, Form D, Blue Sky)
- Elite mathematical competency with a proven track record of constructing, checking, and reconciling complex distribution frameworks or data sheets
- Mastery of digital workflow toolsets, specifically Airtable, Dropbox, DocuSign, Microsoft Excel, and Google Sheets
- Elite written and verbal English communication skills
- A secure personal computer complying with strict digital security standards
- A highly stable, high-speed secure internet connection
- Voice/Video Recording (at least 30 seconds long and in English)
Desired Qualifications
- A paralegal or legal-operations background
- Direct experience handling venture capital SPV structures, syndicates, or multi-tiered fund distribution workflows
- Proven capability reading, dissecting, and interpreting sophisticated LLC operating agreements and venture investment documents
