Job Summary
Draft and negotiate operative documents for closed end and evergreen comingled funds, including limited partnership agreements and subscription agreements, while overseeing outside counsel. Advise internal clients and senior leadership on structuring new funds and client agreements, and manage specialized investor negotiations, MFN processes, and limited partner transfers. Coordinate US and non-US regulatory filings, handle fund credit facility negotiations, and draft amendments to existing client relationships. Ensure compliance with securities and tax laws, including ERISA, and periodically refine form agreements and outside counsel guidelines.
Required Qualifications
- Juris Doctorate from an accredited U.S. Law school
- Licensed to practice in at least one state
- 4-7 years' work experience as a practicing attorney
- Experience within the asset management, fund formation, private equity and/or corporate departments of a law firm or financial services business
- Working knowledge of corporate, partnership and other private markets' law
- Willingness to learn select non-U.S. regulatory matters
