Job Summary
Support the Chief Legal Officer with corporate governance activities, Board and committee meeting preparation, drafting resolutions, and minutes. Manage recurring governance deliverables, SEC filings, and public company reporting while overseeing employment-based immigration and visa matters. Coordinate the Legal department calendar for Board meetings, transactions, and litigation deadlines, and assist with corporate insurance program management and credit facility compliance. Partner cross-functionally with executive leadership, Human Resources, and outside counsel to resolve equity plan administration questions and support corporate transactions. Maintain Boardvantage, the company's digital Board portal, and ensure all corporate entities are properly registered.
Required Qualifications
- 5+ years of paralegal experience supporting in-house legal departments, preferably within a public technology company
- Bachelor's degree and/or Paralegal Certificate from an ABA-approved program
- Prior experience at a top-tier national law firm supporting sophisticated corporate, securities, or M&A matters
- Hands-on experience owning employment-based immigration case administration in partnership with outside counsel, including H-1B, TN, L-1, O-1, PERM, and permanent residency matters
- Strong knowledge of corporate governance, entity management, and public company compliance
- Experience supporting SEC reporting, public company compliance, and Board governance activities
- Experience with employee equity plans and corporate insurance programs
- Exceptional organizational, project management, and communication skills with the ability to manage multiple priorities and deadline-driven matters simultaneously
- High degree of discretion and professionalism when handling confidential and sensitive information
- Experience working with stakeholders at all levels and functions in a fast-paced environment
- Active California Notary Public commission, or willingness to obtain one
