Job Summary
Prepare and file SEC documents, including Form 8-K, Section 16(a) filings, and periodic reports on Forms 10-Q and 10-K. Assist with state registrations, annual reports, and business licenses while coordinating corporate governance activities across Autolus subsidiaries in the United Kingdom, Germany, and Switzerland. Maintain corporate records, support transactions such as financings and mergers, and conduct legal research on corporate matters. Coordinate with external counsel and regulatory agencies as needed. This role requires exceptional organizational skills and the ability to work independently in a fast-paced environment.
Required Qualifications
- Minimum of 5-7 years of experience as a corporate paralegal in a corporate legal department or law firm, with a focus on SEC filings and state registrations
- Strong knowledge of federal and state securities laws and regulations
- Detailed understanding of corporate governance and related compliance matters
- Excellent written and verbal communication skills
- Ability to manage multiple tasks and prioritize effectively
- Detail-oriented with strong organizational skills
- Ability to work independently and as part of a team
- Proficiency in legal research tools and software
Desired Qualifications
- Experience managing corporate governance activities for entities in the United Kingdom, Germany and/or Switzerland
- Paralegal certification from an accredited institution
- Bachelor's degree in Paralegal Studies, Legal Studies, or a related field
