Job Summary
Paralegal - Corporate/Transactional responsible for supporting corporate law transactions including preparing and coordinating formation documents for corporations, LLCs, and LPs; managing multi-state qualifications (Florida/Delaware); supporting mergers, acquisitions, dissolutions, and related filings; assisting with due diligence, private placements, and securities filings (SEC Form D/Blue Sky); coordinating tax clearances and regulatory approvals; maintaining minute books and corporate records; preparing stock certificates and reviewing good standing certificates. Requires 3+ years of corporate transactional paralegal experience, a Bachelor's degree (preferred), and proficiency with MS Office; hybrid/full-time role based in Tampa, FL with potential for fully remote for the right fit.
Required Qualifications
- Minimum 3+ years of corporate transactional paralegal experience including mergers and acquisitions, divestitures and entity change
- Bachelor’s degree in related field of study preferred
- Experience with business entity formation, particularly in Florida and Delaware
- Private placement and securities filings experience, including SEC Form D and Blue Sky filings
- Ability to manage multiple projects or tasks in a demanding environment
- Proficiency in using Microsoft Office Suite, especially Microsoft Excel
