Job Summary
Paralegal, Corporate responsible for supporting corporate governance, subsidiary management, and contract administration. Key duties include maintaining corporate records, preparing and filing corporate documents (articles of incorporation, bylaws, board/shareholder resolutions, consents, powers of attorney), coordinating with internal and external stakeholders, preparing Board and Committee materials (agendas, resolutions, minutes, notices), tracking filings across jurisdictions, and ensuring compliance with laws and internal policies. Requires managing high volumes of contracts, utilizing board portals, and collaborating across Legal, Finance, Tax, Treasury, and HR. Requires 5–7 years paralegal experience in a corporate setting, a Bachelor’s degree and/or Paralegal Certification, and bilingual Spanish/English communication skills.
Required Qualifications
- Minimum of 5 – 7 years of paralegal experience in a corporate legal department or law firm

- Bachelor’s degree and/or Paralegal Certification
- Fully bilingual – Spanish/English
- Experience managing corporate entities and maintaining corporate records across multiple jurisdictions
- Demonstrated experience tracking and managing a high volume of contracts and legal documentation
- Strong knowledge of corporate governance practices and documentation
- Exceptional organizational skills and ability to manage multiple priorities under tight deadlines
- Strong communication and interpersonal skills across levels
- High level of professionalism, discretion, and sound judgment
- Proficiency in Microsoft Office (Excel, Word, Outlook, Teams) and Adobe Acrobat
- Experience with entity management systems and board portals is a plus
