Job Summary
Paralegal (Corporate) to support departmental attorneys and senior paralegals through all phases of transactions from inception to closing. Responsibilities include research and analysis of corporate records, drafting and maintaining checklists, tracking documents and closing certificates, reviewing contracts, preparing entity formation and dissolution filings, maintaining corporate records and minute books, managing equity files in Carta, Shareworks, and Diligent, onboarding new clients, and providing transactional support for M&A, securities offerings, and corporate restructurings. Required skills include strong knowledge of state and federal securities laws, experience with corporate formation and records management, ability to work in a team, and a bachelor’s degree with a paralegal certificate.
Required Qualifications
- Bachelor's degree or equivalent
- Paralegal certificate from an ABA-approved program (or declaration if in California)
- Minimum of four years of related law firm paralegal experience
- Thorough knowledge of state corporation laws and federal and state securities laws and regulations
- Professional interpersonal skills and ability to work in a team environment with a customer-service focus
- Experience with corporate records management and transactional support
