Job Summary
Corporate paralegal supporting the Business & Finance practice in a fast-paced transactional environment. Responsibilities include drafting and revising routine corporate documents, assisting with due diligence, closings, and preparation of closing binders, forming and maintaining business entities (corporations and LLCs), preparing filings with state agencies, FINRA, and the SEC, managing DocuSign processes and data rooms, conducting lien searches and factual legal research, maintaining corporate records and ownership ledgers, and coordinating deadlines with outside vendors and transaction checklists. Requires 5+ years of corporate/paralegal experience, preferably in a law firm or corporate setting; paralegal certificate or equivalent experience preferred; proficiency with MS Office, Adobe Acrobat, DocuSign, and document-management systems; ability to manage multiple priorities and communicate professionally with attorneys, clients, and outside parties.
Required Qualifications
- 5+ years of corporate/business paralegal experience, preferably in a law firm or corporate legal department
- Paralegal certificate or equivalent experience preferred
- Experience supporting transactional and finance matters required
- Strong organizational skills and attention to detail
- Proficiency in Microsoft Office, Adobe Acrobat, DocuSign, and document management systems such as iManage preferred
- Ability to manage multiple priorities and communicate professionally with attorneys, clients, and outside parties
