Job Summary

Manager/Director of Board Governance & Executive Affairs reports to the Managing Director & General Counsel and serves as a trusted partner to executive leadership and the Boards across The Fedcap Group. The role provides governance leadership, executive operations support, and stakeholder engagement, aiming to strengthen board governance, centralize board administration, support board effectiveness, and coordinate governance activities across a growing nonprofit enterprise. Responsibilities include preparing board agendas and materials, developing engagement strategies with organizational leadership, managing an annual governance calendar, coordinating board reporting and communications, maintaining centralized governance records, ensuring regulatory compliance, overseeing orientation and director education programs, and supporting corporate office operations. The position requires experience supporting boards and executive leadership, strong communication and relationship-building skills, organizational and project management capabilities, and proficiency with board management software; occasional evenings/weekends and travel may be required.

Required Qualifications

  • Demonstrated experience supporting Boards of Directors, executive leadership teams, governance committees, and board recruitment initiatives
  • Exceptional written and verbal communication skills with demonstrated experience preparing executive-level reports, governance communications, presentations, and board materials
  • Proven ability to influence and build credibility with Board members, Executive Directors, C-suite leaders, and senior stakeholders
  • Strong organizational, project management, and recordkeeping skills with exceptional attention to detail
  • Ability to manage multiple priorities while exercising sound judgment and discretion
  • Experience establishing governance processes, centralizing documentation, and driving operational efficiencies across multiple entities or business units preferred
  • Proficiency with Microsoft Office Suite, virtual meeting platforms (Zoom, Teams), and board management software (Board Effect preferred)
  • Bachelor’s degree or equivalent combination of education and experience preferred
