Job Summary
Senior Attorney in DLA Piper’s Litigation group, Business and Commercial subgroup, focusing on M&A-related disputes. Responsibilities include negotiating and drafting property management and development agreements, LLC operating agreements and limited partnership agreements, conducting due diligence (title and survey reviews, easements, REAs, CCRs, leases, financial documents), reviewing entity documents for authority matters, leading multi-property due diligence, drafting and negotiating confidentiality/access agreements, purchase & sale and closing documents (escrow letters, deeds, assignments, bills of sale), drafting loan documents (senior secured, mezzanine, construction), drafting zoning opinions and performing regulatory analysis. Provides leadership by coaching and mentoring a team, and upholds professional standards and firm policies. Requires strong communication, timely deliverables, and ability to work in a fast-paced environment. Hybrid in-office presence with some flexibility for work-from-home; offices include New York, Atlanta, Raleigh, Baltimore, Short Hills, Washington, Wilmington, Philadelphia, Miami, and Boston.
Required Qualifications
- Admitted to practice in the jurisdiction where applying
- Minimum of 6 years’ experience in M&A post-closing indemnity disputes and/or representations and warranty insurance disputes
- Experience with M&A transaction documentation and damages calculations
