Legal Entity Governance – Corporate Governance Specialist/Corporate Counsel

Job Summary
Responsible for managing the day-to-day operational needs of GE Vernova’s legal entities in Japan and Korea throughout their life cycle (creation, maintenance, dissolution, simplification), coordinating with Business General Counsels, Finance, Tax, and other GE Vernova teams to ensure timely governance, and maintaining entity data. Oversees board and committee meeting logistics, attends and records minutes, advises boards on roles and responsibilities, and facilitates director orientation. Maintains key corporate documents, ensures compliance with jurisdictional laws and proper reporting, manages subsidiary structures and governance, monitors governance developments, and collaborates with cross-regional teams to implement LEAN and governance-process improvements. Utilizes EntityOps and other databases to manage entity information and supports governance-related projects within a global team. Proficiency in Microsoft Office and strong communication skills are required; experience with legal technology and process transformation (Kaizen) is preferred.
Required Qualifications
- Bachelor’s Degree (Law or other legal diploma/tertiary qualifications)
- Qualified attorney/Judicial scrivener/paralegal/Company Secretary Certification/Degree or Diploma in Japan or outside Japan
- Minimum 3-5 years of legal entity corporate governance experience as a judicial scrivener/paralegal/counsel in Japan or other jurisdictions in Asia
- Fluent in Japanese and English (other Asian languages advantageous)
