Job Summary
Draft, review, and negotiate complex commercial agreements including software licensing, SaaS, vendor, and partnership contracts. Provide strategic legal guidance on corporate governance, M&A due diligence, and multi-jurisdictional issues while supporting employment law and HR initiatives. Maintain corporate records, ensure regulatory compliance, and collaborate with business teams to identify and mitigate legal risks. Requires a Juris Doctor with active U.S. admission and 5+ years of experience managing diverse portfolios in a fast-paced, entrepreneurial environment. Legally authorized to work in the United States.
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school
- Active admission to practice law in good standing in the United States
- Minimum 5 years of legal practice experience, law firm or in-house
- Exceptional drafting and negotiation skills with demonstrated ability to draft and structure complex commercial agreements
- Strong analytical and problem-solving abilities with sound legal judgment
- Proven business acumen and ability to provide practical, commercially oriented legal advice
- Experience managing multiple priorities and stakeholders in a fast-paced environment
- Excellent communication skills with ability to distill complex legal concepts for business audiences
- Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders
- Technology, software, and AI licensing agreements and SaaS business models
- Commercial contracts (vendor agreements, partnership arrangements, customer agreements)
- Global corporate governance and compliance frameworks
- M&A support and due diligence
- International and U.S. operations
- Employment law and HR-related legal matters
- Intellectual property management and protection
- Legally authorized to work in the United States
