Job Summary
Advise on private fund managers across the full fund cycle, from formation to winding up, and support REIT and business trust managers with acquisitions, financing, and litigation. Review customer and vendor contracts, confidentiality agreements, and engagement letters while ensuring compliance with the SGX Listing Manual, Companies Act, and internal policies. Manage external legal advisors and serve as the communication channel with regulators like the SGX and MAS. Provide oversight to the corporate secretarial function, including drafting minutes, preparing announcements, and managing statutory filings. Requires a law degree with five years post-qualification experience and familiarity with private funds, REITs, and corporate matters.
Required Qualifications
- A good law degree from a reputable university
- At least a minimum of 5 years of post-qualification experience in a law firm or as in-house counsel
- Familiarity with private funds including structuring, offering materials, fund organizational documents, the fund raising process as well as the relevant regulatory regimes
- Good working knowledge on corporate matters such as mergers & acquisitions, capital markets and general corporate and commercial work
- Able to work independently as well as part of a team
- Possess good interpersonal skills and confidence in leading and providing well-reasoned advice
