Job Summary
Legal Counsel to support HappyRobot’s growth with a focus on intellectual property and commercial agreements. Role involves drafting, reviewing, and negotiating a wide range of contracts (SaaS agreements, MSAs, enterprise agreements, licensing, vendor, reseller, partnership agreements, DPAs, NDAs, services agreements), advising on commercial, IP, and data privacy matters, ensuring GDPR and EU privacy compliance, managing IP strategy and diligence, open-source compliance, and building scalable contracting workflows. Cross-functional collaboration with product, engineering, sales, partnerships, and operations; provide practical legal advice balancing risk and commercial objectives; support fundraising and due diligence; manage external counsel as needed.
Required Qualifications
- 6+ years of relevant legal experience
- Experience drafting, reviewing, and negotiating SaaS agreements, MSAs, enterprise agreements, NDAs, DPAs, Order Forms and other commercial contracts
- Solid understanding of EU data privacy laws and regulations, including GDPR
- Experience handling intellectual property matters (trademarks, patents, copyright, licensing, IP ownership)
- Excellent drafting, negotiation, and communication skills with a pragmatic, solution-oriented, and risk-based approach
- Strong commercial judgment and ability to balance legal risk with business priorities
- Ability to manage multiple priorities and high contract volume in a fast-paced environment
- Strong sense of ownership, accountability, and execution with attention to detail and urgency
- Proven ability to work cross-functionally and build trusted relationships with business stakeholders
