Legal Counsel - Corporate

Job Summary
Execute corporate financing, capital markets, and strategic transactions from term sheet through closing, advising Finance stakeholders on contract terms and risks. Draft, review, structure, and negotiate term sheets and definitive agreements including credit agreements and security packages. Support due diligence, manage document flow and closing logistics, and maintain ongoing covenant compliance. Handle entity formations, intercompany transactions, and related corporate functions while developing standardized templates. Present complex legal concepts to non-legal audiences and coordinate between outside counsel and internal teams across Finance, Corporate Development, Cloud Sales, and Digital Infrastructure.
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school
- Active bar admission in any state
- 7-10 years of transactional legal experience
- Significant and progressive experience in complex corporate and finance transactions
- Experience at a top-tier law firm or in-house legal department
- Expertise in drafting, structuring, and negotiating loan or other financing documentation
- Exceptional attention to detail
- Demonstrated strong business judgment
- Proven ability to balance legal risks against commercial objectives
- Strong working knowledge of corporate governance and compliance best practices
- Experience managing multiple high-stakes workstreams simultaneously in a fast-paced, dynamic environment
- Proficiency with Google Workspace, Microsoft Office, and AI tools
Desired Qualifications
- Prior experience at a startup, AI company, digital infrastructure, or high-growth venture business
- Understanding of real estate transactions, construction / construction finance, and project development
- Experience working with investment banks, capital markets desks, institutional lenders, or investors
