Job Summary
Legal Counsel, Commercial Services at TMX Group: Focus on drafting, reviewing, and negotiating a broad range of commercial contracts; provide legal advice on commercial strategies, data, indices and benchmarks, and technology licensing; support acquisitions/divestitures and integration; develop standard form agreements for products/services; advise on privacy, IP, advertising compliance, and digital properties; collaborate with TMX VettaFi and procurement teams; hybrid work arrangement in Toronto (2-3 days in office). Responsibilities include working with clients, suppliers, and internal/external counsel across multiple jurisdictions; supporting data licensing, SaaS/PaaS, cloud arrangements, outsourcing, and analytics platforms; ensuring compliance and contract interpretation, with strong negotiation, drafting, and analytical skills; requires Ontario bar admission and at least 3 years of experience in commercial contracts and transactions.
Required Qualifications
- Called to the Bar of Ontario
- Membership in good standing with the Law Society of Ontario
- 3+ years of relevant experience in commercial contracts and transactions
- Experience drafting, negotiating, and advising on IT and procurement-related contracts
- Knowledge of privacy, antispam, IP, and technology-related legal principles
