Job Summary
Commercial and AI-forward Legal Counsel role supporting Clio's Sales team across SMB, Enterprise, and Public Sector. Responsibilities include leading full lifecycle of Sales Agreements (NDAs, drafting, redlining, negotiating, closing), working with Compliance, Security, and Channel Partnerships to move deals forward, handling Public Sector contracting (SLED/government frameworks), drafting and negotiating Referral & Partnership Agreements, advising on Technology & IP issues (licensing, trademarks, AI-related considerations), and supporting Privacy programs (policies, data breach response, DPIAs) while contributing to Legal Ops and process improvements. Must be admitted to a Canadian bar in good standing and bring 3-5 years of commercial/technology law experience with strong SaaS/NDAs/privacy/partnerships expertise; ability to negotiate effectively, manage variable scope, and communicate legal risk clearly to non-lawyers. Bonus for public sector experience and a track record of aligning legal strategy with AI-enabled workflows.
Required Qualifications
- Called to the bar in a Canadian province or territory, in good standing
- 3 - 5 years as a commercial or technology lawyer
- depth in SaaS agreements, NDAs, privacy law, and partnerships
- strong negotiation skills and deal-making focus
- comfortable with rapid pace and coordinating with multiple internal teams
- curiosity about AI and legal tech and willingness to use these tools
- clear risk translation for non-lawyers
