Job Summary
Draft and review private placement memoranda, providing input on compliance and operations-related investor side letter provisions for fundraisers. Liaise with US and Luxembourg AML teams on reviews of prospective and existing investors while preparing, implementing, and maintaining fund-specific policies and procedures. Oversee compliance functions for acquisitions and dispositions, including documentation of allocation of investment opportunities and adherence to fund investment limitations. Provide day-to-day support to fund accounting, tax, and portfolio management teams in interpreting contractual obligations, facilitating investor fund transfers, and conducting quarterly compliance reviews. Coordinate annual compliance meetings and ensure timely submission of regulatory filings such as Form D, Form PF, and Form ADV. Manage junior Real Estate Legal and Compliance team members in the execution of these responsibilities.
Required Qualifications
- JD preferred
- Minimum of six years of relevant experience
