Legal & Compliance - Real Estate, VP

Draft and review private placement memoranda, coordinate with institutional clients and outside counsel on fund content, and manage investor side letter provisions for fundraisers. Liaise with US and Luxembourg AML teams on reviews for prospective and existing investors, then prepare and maintain fund-specific policies covering redemption, valuation, and transfer rights. Oversee compliance during acquisitions and dispositions, document allocation of investment opportunities, and interpret limited partnership agreement obligations for accounting and portfolio management teams. Facilitate investor fund transfers and conversions, conduct quarterly compliance confirmations, and coordinate annual meetings with outside counsel and internal teams. Support regulatory filings including Form D, Form PF, and Form ADV, while managing junior team members in execution of these responsibilities.
