Job Summary
Represent private equity sponsors, hedge funds, and institutional investors in sophisticated fund formation and investment management matters. Draft and negotiate limited partnership agreements, subscription agreements, side letters, and carried interest arrangements. Advise clients on fund governance, securities law compliance, and ongoing operational issues. Manage complex fund structures while maintaining significant client interaction and business development. Requires 3–6 years of experience in fund formation, drafting, and negotiation, with a J.D. from an ABA-accredited law school and New York bar admission. Required Qualifications
- 3–6 years of investment funds, investment management, or fund formation experience gained at a sophisticated law firm
- Experience representing private equity funds, hedge funds, private credit funds, real estate funds, hybrid funds, asset managers, and institutional investors
- Experience handling the formation, structuring, organization, and ongoing operation of private investment funds
- Experience drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, management agreements, carried interest arrangements, and related fund documentation
- Experience advising clients regarding fund governance, securities law compliance, investment adviser matters, investor negotiations, and ongoing operational issues
- Strong drafting, negotiation, analytical, organizational, and communication skills
- Entrepreneurial mindset with the ability to build and maintain strong client relationships
- Ability to independently manage sophisticated fund matters while maintaining significant client interaction
- Excellent academic credentials
- J.D. from an ABA-accredited law school required
- New York bar admission required or ability to become admitted
Desired Qualifications
- Experience with retail alternative investment vehicles, including Business Development Companies (BDCs), interval funds, and closed-end funds
