In-House Counsel, Contracts

Job Summary
Review, edit, and negotiate contracts including professional services, subconsultant, teaming, NDAs, and vendor agreements. Identify key risks and explain legal concepts to technical staff, then partner with project managers and business services to negotiate terms with clients and vendors. Provide guidance on compliance matters such as conflicts of interest, confidentiality, and insurance requirements while managing intake and scheduling for review requests. Assist with business registrations and licensing, conduct legal research, and maintain internal resources like contract templates and training materials. Work at least two days per week in the Walnut Creek office within a two-person Corporate Services team.
Required Qualifications
- Juris Doctorate from an ABA accredited law school
- 3+ years of professional experience as an attorney with substantial experience reviewing and negotiating contracts
- Ability to reliably work in the Walnut Creek office at least two days per week
