Head of Global Regulatory Affairs and Entity Corporate Governance (12-month fixed-term maternity cover)

Job Summary

Develop and execute a comprehensive global regulatory strategy while monitoring jurisdictional changes to ensure compliance with local and international laws. Lead regulatory filings and inquiries as the primary liaison with authorities, and oversee the corporate governance framework for all legal entities across multiple regions. Manage statutory filings, board minutes, and annual disclosures while coordinating with local counsel to support new entity formations and reorganizations. Identify and mitigate regulatory risks through regular audits and assessments, and advise senior leadership on governance issues for acquisitions and partnerships. Mentor a high-performing team and collaborate cross-functionally with Legal, Risk, and Operations to foster a culture of accountability.

Required Qualifications

  • Master's degree in Law or Corporate Governance
  • degree in Business, Finance, or a related field
  • recognized corporate governance certification (e.g., CSQS, formerly ICSA)
  • 8+ years of experience in corporate governance, corporate legal compliance, global legal entity management
  • experience in a multinational or global organization with a high volume of subsidiaries across different regions
  • Proven experience in managing corporate legal compliance globally across multiple jurisdictions, particularly across EMEA
  • ability to navigate and differentiate between various legal systems, legal entity structures, local statutory filing obligations
  • Demonstrable expertise in managing regulatory affairs, particularly with a focus on licensing
  • Experience with the Employer of Record (EOR) model
  • Deep knowledge of regulatory frameworks and corporate governance best practices, particularly across EMEA
  • Strong understanding of international entity management requirements and the ability to navigate multi-jurisdictional regulations, particularly across EMEA
  • Excellent organizational and project management skills, with a focus on regulatory strategy and risk mitigation
  • Exceptional communication, presentation, and negotiation skills, with the ability to influence at all levels of the organization
  • Strong analytical and problem-solving skills, with a proactive and strategic mindset
  • Ability to manage multiple priorities and projects in a fast-paced environment
  • Deep knowledge of global regulatory standards and best practices, with the ability to navigate complex regulatory environment
  • Ability to anticipate regulatory and governance trends, interpret complex regulations, and devise strategies to ensure entity compliance
  • Unwavering commitment to ethics, confidentiality, and handling sensitive information with discretion
  • Proven ability to work effectively across departments and with senior stakeholders
  • Comfortable working in a rapidly changing regulatory environment and responding swiftly to new challenges
