Job Summary
General Counsel for a SaaS-focused Ministry Brands, serving as the company’s chief legal officer and leading a Legal & Compliance team to manage all legal, regulatory, and compliance matters. Responsibilities include strategic legal leadership to the CEO/board and PE sponsor, M&A due diligence and negotiations, enterprise SaaS contracting (MSAs, order forms, SLAs, DPAs), data privacy and security programs, governance and reporting to the board and investors, and building a scalable legal function with a focus on risk management and business velocity. Key activities cover employment law, corporate governance, outside counsel management, and coordination with Sales, Product, and Engineering to enable growth while maintaining compliant operations. Desired capabilities include experience with PE-backed environments, a track record of scaling legal teams, and familiarity with faith-based or nonprofit customers as a meaningful plus, all within a fast-moving, high-growth SaaS context.
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Active membership in at least one U.S. state bar
- 6-10 years of legal experience, with meaningful in-house SaaS/tech experience
- Prior experience as General Counsel, Deputy GC, or AGC at a mid-market SaaS company ($100M–$500M revenue)
- Experience in PE-backed or sponsor-backed operating environments, including M&A support
- Deep expertise in commercial SaaS contracting (enterprise agreements, multi-product deals)
- Working knowledge of data privacy frameworks (SOC 2, CCPA/CPRA, COPPA, GDPR concepts) and building/managing a compliance program
- Proven track record of building, leading, and developing a legal team
- Ability to operate as a strategic advisor and hands-on practitioner in a lean, high-growth environment
