Job Summary
Develop financial products by personally preparing and reviewing offering materials, overseeing Regulation A reporting, and ensuring compliance with U.S. federal securities laws across trading and investor communications. Structure and execute corporate transactions including financings and strategic partnerships as the primary attorney driving deals from start to finish. Negotiate commercial arrangements directly with business partners while maintaining governance over the company and its investment vehicles. Provide hands-on legal support for employment, intellectual property, data privacy, and marketing review, partnering with the Chief Compliance Officer to implement policies and controls. Build and maintain legal infrastructure, including templates, processes, and outside counsel relationships to support growth. Report directly to the CEO in this individual contributor role where you will personally handle the majority of day-to-day legal work rather than delegating to junior attorneys.
Required Qualifications
- J.D.
- admitted to a U.S. state bar in good standing
- Approximately 7 years of legal experience
- training at a nationally recognized law firm in capital markets, corporate finance, or M&A
- in house experience in a similar area
- Comfortable operating as an individual contributor
