Job Summary
GIF seeks a Principal Legal Adviser, Company Secretary and SLT member to lead GIF’s legal function. The role spans investment transactions, fundraising, board governance, legal compliance and organisational risk, with HR and ESG oversight reporting into this role. Primary responsibilities include providing pragmatic risk-based legal advice to the CEO/SLT/Board, structuring and negotiating grants/loans/equity and other risk-capital investments, managing fundraising agreements, overseeing governance cycles, policy management, compliance and risk, risk-panel leadership, litigation coordination, external counsel management, contract/policy review, regulatory engagement, and board reporting. The candidate should bring senior legal judgement, cross-jurisdictional experience, governance and company secretarial expertise, and the ability to work effectively in a lean, mission-driven organisation while collaborating with internal teams and external advisers.
Required Qualifications
- Qualified solicitor in England and Wales
- Experience with grants, loans, equity, blended finance or risk-capital instruments
- Governance and company secretarial experience
- Experience with charity law, corporate law, sanctions, AML, data protection, employment, procurement and funder requirements
- Experience managing small teams and external advisers
- Multijurisdictional experience and ability to operate in a global organisation
- Strong judgement and communication skills
- Commitment to mission and international development
