Job Summary
Senior General Counsel at Cognito Therapeutics, reporting to the CEO and working with the Board, responsible for the full legal, compliance, governance and ethics function to support IPO readiness and growth. Leads corporate governance, securities, strategic transactions, regulatory/compliance, IP strategy, neuroethics and AI governance, data governance and privacy, and risk management; builds scalable legal infrastructure; negotiates complex agreements, oversees external counsel, and partners with executive leadership on fundraising, investor relations, and strategic initiatives. Requires 15+ years of experience, a law degree, active bar membership, and a track record in life sciences or medical device environments with venture-backed or high-growth exposure; strong drafting, negotiation, and leadership capabilities, and a strategic, business-oriented mindset with credibility with boards and investors. Location flexibility includes Cambridge, MA (on-site) or remote USA, with executive leadership responsibilities and a focus on governance, compliance, and platform defensibility in brain health and neurotechnology.
Required Qualifications
- D. from an accredited law school and active membership in at least one U.S. state bar
- 15+ years of legal experience
- experience as General Counsel or Deputy/Associate General Counsel in life sciences/medical device/health tech
- experience with IP strategy, complex commercial transactions, and advising CEO and Board-level stakeholders
- experience with governance domains including AI ethics, data privacy, and neuroethics
