Fractional Director of Legal

Job Summary
Draft, review, and negotiate commercial agreements, master services agreements, and NDAs while developing templates and playbooks to accelerate routine work. Maintain corporate records, statutory filings, and internal policies across all entities, ensuring governance compliance and audit readiness. Prepare board materials, resolutions, and minutes in coordination with the CFO, while supporting investor relations, due diligence, and cap table administration. Lead legal workstreams for financings, M&A, and strategic partnerships, managing due diligence and cross-functional coordination with Finance and Sales. Manage relationships with outside counsel, scoping budgets and optimizing in-house versus external engagement to control costs. Operate as a standalone legal function with approximately 2–3 days per week, reporting to the CFO with a path to full-time transition.
Required Qualifications
- J.D.
- active membership in good standing with the Law Society of Alberta
- eligibility to obtain Alberta membership, e.g., via NCA accreditation or interprovincial transfer
- 5+ years of legal experience
- significant experience in commercial contracting
- significant experience in corporate law
- in-house experience
