Job Summary
Advise emerging growth companies on entity formation, corporate governance, and organizational structuring. Represent startups and founders in seed, Series A, and later-stage venture capital financings. Counsel venture capital and private equity clients on fund formation and portfolio investments. Draft, review, and negotiate critical transaction documents such as term sheets and stock purchase agreements. Support mergers and acquisitions involving emerging companies, ensuring compliance and strategic alignment. Advise clients on equity compensation plans and employee benefits matters. Collaborate with senior attorneys to deliver integrated legal solutions and manage client relationships. Ideal candidate brings 4 to 8 years of relevant legal experience, ideally at a top-tier law firm with a focus on emerging companies and venture capital.
Required Qualifications
- 4 to 8 years of relevant legal experience
- Demonstrated experience advising startups and venture capital investors on financings and corporate transactions
- Strong drafting and negotiation skills across a broad range of venture and corporate documents
- Deep understanding of the venture capital ecosystem, including deal structures and investor dynamics
- Excellent communication skills, capable of translating complex legal concepts for clients
