Job Summary
Provide business and legal advice to stakeholders and frame, review, draft, and negotiate IP licensing, joint development, and complex transactions to achieve business objectives. Counsel the sales and business teams on contract provisions, assess and mitigate legal risks such as indemnifications and liability, and partner with other Legal and Compliance groups to deliver comprehensive support. Manage outside counsel work product quality and budgets while actively participating in process and technology projects to improve service and efficiency. This Director-level role reports to a Senior Director in the Legal and Compliance Organization, requiring a JD, 10+ years of experience in IP licensing, and the ability to travel 10% of the time.
Required Qualifications
- Juris Doctorate (JD) from an accredited and recognized law school
- 10+ years of relevant legal experience with a focus on IP licensing (with a focus on patent licensing), joint development agreements, IP purchases and sales, royalty-bearing agreements, and other complex transactions
- Deep understanding of contract terms relating to creation and allocation of technology and IP rights
- Sound legal and business judgment
- Excellent negotiation skills, including first-hand experience leading negotiations
- Excellent written and verbal communication skills necessary to support a global business
- Ability to spot compliance and regulatory implications of new businesses
- Ability to work collaboratively across organizational boundaries and with a diverse group of colleagues in multiple countries
- Ability to travel occasionally
- Licensed to practice law in California
Desired Qualifications
- Work experience in both law firm and in-house corporate legal departments
- Degree in engineering or hard sciences, and/or experience in the engineering or semiconductor industry
- Registered US patent attorney
- Ability to translate business needs into contract language and creatively resolve business issues
- Passionate, proactive, highly motivated self-starter
- Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results
- Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset
